The Results of the efforts made by The SEO Agent Program depends upon the Search engines algorithms, and they change quite frequently. Even the keywords may also vary depending upon the algorithms. Additionally, factors like product or service quality offered by our clients, network downtime, and many other instances will also affect the search engine rankings. The SEO Agent doesn't claim any rank or position, but we certainly do work on the search engine guidelines for improving the rankings. However, our clients will need to agree for plus or minus 30% results on what is mentioned on our package charts, considering the multiple factors that are beyond our scopes of control. We are not liable for technical issues on our client websites that could interrupt our services, or impact their website rankings. Such technical issues are beyond our scopes of control. Privacy Policy: The SEO Agent will need to take your personal and business information while signing up contractual agreements for delivering services. The information that you provide to us will never be misused or misrepresented by us, as we safeguard and respect our client privacy. In addition to providing us with your name, company name, address, e-mail address, telephone number etc, you will also need is to provide us with your complete credit card details for authorizing your payment. All these information will be used not only for completing your sales. The SEO Agent will never share your information with any third parties, unless it is essentially needed for delivering our services. Similarly, The SEO Agent will not be sharing your information with any external advertising companies, if you register it with us for receiving newsletters and updates emails. However, we will be showcasing your company website on our business development campaigns as one of our clientele. Our services information will also be displayed on your web pages. External links: The SEO Agent is strategically affiliated in various marketing processes with many companies. Therefore, you will find many external links on our website. If you visit their website from the links on our website, it is important for you to learn everything about the privacy policies on their websites. Terms and Conditions 1. Definitions As used herein and throughout this Agreement: 1.1 "Agreement" means the entire content of this Basic Terms and Conditions document, the Proposal document(s) with any other Supplements designated below, together with any exhibits, schedules or attachments hereto. 1.2 "Client Content" means all materials, information, images, writings, logos and other creative content provided by client for use in the preparation of and/or incorporation in The SEO Agent Program 1.3 "Copyrights" means the property rights in original works of authorship, expressed in a tangible medium of expression, as defined and enforceable under Canadian and/or U.S. Copyright Law. 1.4 "Deliverables" means the services and work product specified in the relevant plans mentioned on the Website, up to 70% of the features will be included, 30% of the features or results may vary according to Search Engine Algorithms. 1.5 "Project" means the scope and purpose of the Client's identified usage of the work product as described in the Proposal. 1.6 "Services" means all services and the work product to be done by www.theseoagent.com 1.7 "Third Party Materials" means proprietary third party materials which are incorporated into the Final Deliverables, including without limitation stock photography or illustration and Content Writing. 2. Results: The Results of the efforts made by The SEO Agent Program depends upon the Search engines algorithms, and they change quite frequently. Even the keywords may also vary depending upon the search engine algorithms. Additionally, factors like product or service quality offered by our clients, network downtime, and many other instances will also affect the search engine rankings, and those factors are beyond our capacities of control. The SEO Agent doesn't claim to provide any rank or position, but we certainly do work consistently on the search engine guidelines for improving the rankings. Therefore, our clients will need to agree for plus or minus 30% results on what is mentioned on our package charts, especially considering the multiple factors that are beyond our scopes of control. 3. Fees and Charges: 3.1 Fees - In consideration of the Services to be performed by The SEO Agent Program, Client shall pay fees in the amounts and according to the payment schedule set forth in the Initial Consultation, and also pay all applicable sales, or value added taxes, even if calculated or assessed subsequent to the payment schedule. 3.2 Initial Payment - A total sum of Setup fee is required to be paid by client prior to start of the program. An invoice will be sent by The SEO Agent to client acknowledging the initial payment. Once received, work will commence. 3.3 Monthly fee. Client shall pay The SEO Agent the monthly fees according to the package selected by them. The contract will commence for a period of 12 months, where the client will be billed for the monthly fees on the first of every month. The fee of 12 months can also be paid as an upfront amount for availing discounted prices. 4. Renewals: After the initial 12 months, the clients will need to renew the services for next 12 months, which is by either opting for a full upfront payment or by monthly payments. If the client chooses to discontinue the services, they will need to intimate the same with the 3 months notice to The SEO Agent, by either sending an e-mail or contacting over the telephone. The billing cycle starts on 1st of every month, and therefore the notice period of three months will be considered from the first of the subsequent month. The client will be billed for the notice period. 5. Contact agreement: The SEO Agent is committed to providing excellent search engine optimization services to our clients. Our services involve submitting their websites to directories, search engines and other high traffic portals. This part of the service will not be considered as a breach of confidentiality under this contract. 6. Client Responsibilities: The client will need to take complete responsibility and ownership for the information that they provide to The SEO Agent. They will need to provide us with an active e-mail address for the purpose of coordination. We reserve the rights to suspend the account if the client e-mail address is not reachable for a period of 14 days. The client will need to take complete ownership of all the materials on their websites, and these elements could be in the form of information, images, warranties, artwork and logos, or any other digital content. Our policies strictly do not encourage any form of copyright violations. The SEO Agent stands protected from any form of copyright violation by our clients. All such conflicts will be handled solely by our clients themselves. 7. Accreditation / Promotions: All displays or publications of the deliverables shall bear accreditation and/or copyright notice in The SEO Agent's name in the form, size and location as incorporated in the Deliverables. The SEO Agent retains the right to reproduce, publish and display the Deliverables in The SEO Agent's portfolios and websites, and in galleries, design periodicals and other media or exhibits for the purposes of recognition of creative excellence or professional advancement, and to be credited with authorship of the Deliverables in connection with such uses. Either party, subject to the other's reasonable approval, may describe its role in relation to the marketing program. If applicable, the services provided to the other party will be mentioned on its website and in other promotional materials, which includes adding links on the other party's website. If any information required by a court or governmental authority, the client information will be shared by The SEO Agent without an obligation of confidentiality. 08. Indemnification/Liability: 08.1 The Client agrees to indemnify, save and hold harmless The SEO Agent from any and all damages, liabilities, costs, losses or expenses arising out of any claim, demand, or action by a third party arising out of any breach of Client's responsibilities or obligations, representations or warranties under this Agreement. 08.2 The SEO Agent's program is an online Organic Search Engine Optimization program which is not liable for anything related to the Content, Graphic, Video and artwork on the Website. 09. Terms and Termination: 09.1 This Agreement shall commence upon the Effective Date and shall remain effective for the term of twelve (12) months. 09.2 In the event of termination, The SEO Agent shall be compensated for 3 months services performed through the date of termination. The Client shall pay all Expenses, fees, out of pockets together with any Additional Costs incurred through and up to the date of cancellation. The deposits of Setup fee are completely non-refundable except at the discretion The SEO Agent. Upon written agreement of cancellation of consultation services, charges equivalent to a total of three (3) months services will be paid by the client to The SEO Agent. 09.3 Upon expiration or termination of this Agreement: (a) each party shall return or destroy the Confidential Information of the other party. 10. Performance interruptions: Factors like natural calamities and network breakdowns are outside the control of The SEO Agent. Although we will try maintaining highest quality and continuity of our services, there could be a few unforeseen events that could hinder our services. Additionally, there could be many other interruptions since we operate within the networks of the World Wide Web. We stand to stay protected from any such instances that are beyond our capacities of control. The SEO Agent will not be responsible for any liabilities or damages caused to the clients on such events. 11. Service refusal: The SEO Agent reserves the rights to decline any business projects that we find immoral or illegal. We are not liable for any conflicts arising due to the contents on our client websites. We reserve the rights to terminate the agreement on the breach of any code of trust by our client during the entire tenure of the contract. 12. Services credit: The client hereby authorizes The SEO Agent to place their link or small logo at the bottom of each web page on which their services are rendered. The links will stay live for the entire tenure of the services or the contract period. Any of the above mentioned terms and conditions is subject to change at the sole discretion of The SEO Agent. All as users agree to the abovementioned terms and conditions for the entire contract period with us.
